Overseer AUTOEXEC.NT error fix
Ever since Windows XP's SP1 or SP2, I don't remember, you get the AUTOEXEC.NT error message when trying to open older programs. I have a fix for this, it was actually distributed with another game, but it serves the same purpose for any older game or program, and you only have to install it once. After that, you can probably install phantasmagoria on xp, though I haven't tried it yet. Anyway, here's the fix for Jim and anyone else who may need it.

Well, you find the folder you downloaded the file to, double-click it, run it and it should tell you that it's completed. I'm pretty sure you don't specify the installation directory during the installation. All it does is add some files that were removed from the windows folder when SP2 was installed.
Good Luck!
